Brand Ambassador & Influencer Agreement
This agreement outlines the terms and conditions between Keed Cosmetics LLC ("Company") and the Brand Ambassador and/or Influencer ("Ambassador"). By applying to and participating in the Keed Cosmetics Brand Ambassador Program, you agree to the following:
1. Endorsed Products and Registration
All products offered under Keed Cosmetics LLC and its brand names are considered Endorsed Products. (Including but not limited to Keed & CO; Keed Brands.)
Once Approval of Brand Ambassador Application , Accepted Brand Ambassadors must complete registration.
Registration is required: To officially activate your ambassador account, a $1 registration order is required. This confirms your interest, supports system setup, and grants you access to the ambassador program benefits.
This small activation step helps us verify genuine signups and prioritize committed members.
2. Ambassador Expectations
Promote Keed Cosmetics products in a positive, professional, and brand-aligned manner. Create and post User-Generated Content (UGC) including but not limited to: photos, videos, unboxings, makeup tutorials, testimonials, and lifestyle images using Keed Cosmetics products.- Post a minimum of [3] pieces of content for the duration agreed upon during onboarding.
Tag @keedcosmetics and use required campaign hashtags as provided.- Submit original files to the Company for repost, promotion, and marketing use.- Deliver content within 10 business days of receiving any gifted product, paid commission, or other compensation unless otherwise agreed in writing.
Non-compliance may lead to termination, suspension, or withholding of commissions.
Gifting & Compensation- The Ambassador may receive gifted products, monetary payment, affiliate codes, commission, or exclusive promotional opportunities at the discretion of the Company.- All gifted or compensated products are provided in exchange for agreed-upon content deliverables.- The Company retains the right to use all submitted or posted content in perpetuity for marketing purposes without additional compensation
3. Territory
This agreement applies to Ambassadors operating within the United States and U.S. territories.
4. Product Usage
Ambassadors confirm they are 18+ years of age, have reviewed product safety labels, and will not resell any products received.
5. Promotion
Ambassadors agree to actively and respectfully promote Endorsed Products on approved platforms: Instagram, Facebook, Pinterest, YouTube, TikTok, and others as announced. Keed Cosmetics must be notified of all platforms used.

6. Prohibited Content
Ambassadors must not post or associate Keed Cosmetics with content that is explicit, violent, discriminatory, illegal, offensive, or harmful to the brand image.
7. Indemnity
Ambassadors hold Keed Cosmetics LLC and its affiliates harmless from any liability relating to use or promotion of products.
8. Independent Contractor Status
This agreement does not create an employer-employee relationship.
9. Confidentiality
Any confidential information shared by Keed Cosmetics must be kept private. Breach may result in termination and legal consequences.

10. Intellectual Property
Keed Cosmetics has unrestricted rights to reuse, republish, and promote content created as part of this partnership. This includes images, videos, names, likeness, captions, and related media, globally and in perpetuity.
Ambassador retains ownership of original content but grants Keed Cosmetics LLC a royalty-free, worldwide, perpetual license to use, reproduce, distribute, and display the content across any media including online and print media.
Ambassador may not use Keed Cosmetics' trademarks, logos, or brand assets outside of this agreement without written consent

11. Term & Termination
The agreement is valid for one year from the Effective Date and renews automatically unless terminated with 30 days notice.

Failure to Perform / Credit Card Authorization
If the Ambassador fails to deliver the promised content within the expected timeframe requested (10 days after receiving any gifted items or payment, or any written confirmation by the company) Ambassador agrees to reimburse the Company for the full retail value of the gifted product(s) or compensation.
Ambassador authorizes the Company to charge the credit card on file for the full retail value if reimbursement is not voluntarily made within 10 business days of written notice.

12. Governing Law
This agreement is governed by the laws of Nevada. Disputes shall be resolved in Clark County, Nevada.

13. Commissions
To earn commission, users must complete purchases via your unique tracking link as the last click. Commission is not valid on personal orders or discounts. Tracking lasts 30 days.
14. Payment
When applicable, Commissions are paid monthly via PayPal. Payments not claimed within 30 days are forfeited.
15. Removal
Keed Cosmetics reserves the right to remove any Ambassador without prior notice.
16. Changes to Terms
Keed Cosmetics may update these terms at any time. Continued participation indicates acceptance of the changes.

17. Entire Agreement: This document represents the full agreement between both parties.
